In corporate finance contexts, the German term Übernahmevertrag refers to an underwriting agreement, which is a contract between a group of investment bankers, who form an underwriting group or syndicate ,and the issuing corporation of a new securities issue. The underwriting agreement stipulates each of the parties' responsibility in the process of issuing the securities.
