In Brazil, the definition of controlling shareholder is given by section 243, paragraph 2 of Law No. 6404 of December 15, 1976 (known as the Corporations Act), which determines that controlling shareholder shall mean any shareholder that may, either directly or indirectly, control the company's decisions and has the authority to elect most of the company's managers.
