noun

Comparative law notes

Brazil

In Brazil, the Portuguese term "fusão" is commonly translated into English as merger, which is not correct. In a "fusão", two companies merge together and form a third corporation. This is what happens in a consolidation, not in a merger. In a merger, one company is merged into a second one, which corresponds to "incorporação" in Brazil. However, the Brazilian expression "fusões e aquisições" should be translated as "mergers and acquisitions", as both of them are widely accepted expressions used to describe the amalgamation of companies or assets through various financial transactions.
